PRELIMINARY
1 The name of the Club shall be the Bradshaw Cricket Club
2 The clubroom and headquarters of the Club shall be at Bradshaw Lane, Bradshaw, Halifax, HX2 9XB or at such address as the Club may determine in a General Meeting
3 The objects of the Club shall be to foster good sportsmanship both on and off the field of play and to provide facilities for playing cricket, entertainment and recreation for the benefit of its members
4 The Club shall be a Members` Club and shall consist of ordinary members, together with such Honorary, Junior and Corporate members as are mentioned in Rule 5. Membership shall be open to all irrespective of age, gender, disability, race, ethnic origin, colour, social status and sexual orientation.
MEMBERSHIP
5 a Ordinary Members
Every candidate for ordinary membership must be proposed and seconded by members
of the Club, both vouching for the candidate’s fitness for membership.
The name and address of every candidate proposed for membership, together with
the names of the proposer and seconder, shall, for a period of at least two
clear days before such candidate is elected, be posted in the Club in the manner
prescribed in Rule 26. Election to membership shall be either by the Club in
General Meeting, or by the General Committee of the Club. No reasons shall be
given to any candidate in the event of his rejection.
b Honorary Members
These shall not be liable for subscriptions, nor pay any extra entrance fee,
but shall be entitled to all the privileges of membership, and may be elected
by the Club in General Meeting
c Junior Members
These are persons under the age of 18 years, who shall be liable to pay such
reduced entrance fees and annual subscriptions as shall be determined by the
Club in General Meeting or by the General Committee of the Club, and be entitled
to all the privileges of membership, and having played three times for the Senior
Side shall be entitled to vote at any General Meeting of the Club
d Corporate Members
This class of membership is available to organised groups, who use the Club
premises regularly. Election is as for other types as above, but there are no
voting rights.
VISITORS
6 a Members may introduce and entertain guests at the Club and both member and guest shall sign the Vistors` Book provided. Such member will be responsible for the conduct of his guest, and compliance with these rules and Club byelaws. No member can introduce as his guests any person whose membership has either been terminated or suspended, or whose application for membership has been rejected
b Pursuant to the provisions of Section 49, Licensing Act 1964, intoxicating liquor my be sold by or on behalf of the Club for consumption on the Club premises to:
(i) Members of visiting teams and their supporters competing against the Club in organised games
(ii) Members and supporters of teams taking part in the finals of competitions organised by the Halifax League, and associations of which the Club is a member, when the Club’s ground is being used for such finals
(iii) Persons in attendance at functions where the Club premises have been hired in accordance with Rule 7
(iv) Any other function which is authorised by the Committee provided always
that it is promoted by and is the responsibility of a member of the Club who
is present at the function
Functions under (ii), (iii) and (iv) shall not exceed 20 per year and notice
in writing shall be given to:
a The Clerk to the Justices
b The Police Prosecutions Officer for Calderdale Division at least seven days prior to the date of the function
FUNCTIONS
7 Pursuant to Section 49 of the Licensing Act 1949, intoxicating liquor may
be sold for consumption on the premises to non-members of the Club attending
at
the Club premises when functions are authorised by the committee, provided always
that:
a The premises are booked by an ordinary member for the purpose of holding
a private function
b The names of all members attending the function and the name of the member
booking the same shall be entered in a book kept on the premises for that purpose
c All persons attending the function will be allowed to use the facilities of
the Club, including the purchase of intoxicating liquor, on the day of the function
only, provided they are aged 18 or older
d The member organising the function shall be responsible for the behaviour
of the guests and shall not leave the Club premises whilst the function continues
e There shall be no more than 10 such occasions each year and notice in writing
of each function shall be given to the Clerk to the Justices and the Police
Prosecutions Officer, as Rule 6
COMMITTEE AND OFFICERS
8 The affairs of the Club, in all matters not in these rules reserved for the
Club in General Meeting shall be managed by the General Committee of the Club.
The General Committee shall consist of the President, the Chairman, the Secretary,
the Treasurer and not less than three nor more than ten ordinary members of
the Club who shall be elected annually at the Annual General Meeting of the
Club. They shall all go out of office in every year, but shall still be eligible
for re-election. The General Committee may appoint one or more sub-committees
for such purposes as it may deem appropriate. Three members plus one officer
of the Club (who shall in this case act as Chairman with a casting vote) shall
constitute a quorum of the General Committee, and two a quorum of a sub-committee
9 There shall be a President who shall be elected every 3 years at an Annual General Meeting of the Club. At the completion of a 3 year term of office, they shall go out of office, but shall still be eligible for re-election for a second term of office. No President shall serve more than 2 consecutive terms of office. There shall also be a Chairman, a Secretary, and a Treasurer, who shall be elected annually at the Annual General Meeting of the Club. They shall all go out of office in every year, but shall still be eligible for re-election. The said officers shall act in all matters in accordance with the directions of the General Committee of the Club. On the death, resignation or removal from office of the officer, the General Committee shall take steps to procure the appointment of a replacement by the Club in General Meeting
TRUSTEES
10 There shall be three trustees of the Club, who shall be appointed from time
to time as necessary, by the Club in General Meeting, from among ordinary or
honorary members who are willing to be appointed. A trustee shall hold office
during his/her life, or until he/she shall resign by a notice in writing given
to the General Committee or until a resolution removing him/her from office
shall be passed at a General Meeting of the Club, by a majority comprising two-thirds
of the members present and entitled to vote
11 All property of the Club, including land and investments, shall be held
by the Trustees for the time being in their own names, so far as necessary and
practicable, for the use and benefit of the Club. On the death, resignation
or removal from office of the Trustee, the General Committee shall take steps
to
procure the appointment by the Club in General Meeting of a new Trustee in his/her
place, and shall as soon as possible thereafter take all lawful and
practicable steps to procure the vesting of all Club property of the Club held
by them, in accordance with the directions of the General Committee and shall
have power to sell, lease, mortgage or pledge any Club property for the purpose
of raising or borrowing money for the benefit of the Club in compliance with
the Committee’s directions. But no purchaser, lessee, or mortgagee shall
be concerned to enquire whether any such direction has been given.
SUBSCRIPTIONS FINANCES AND ACCOUNTS
12 The annual subscriptions shall be fixed annually by the General Committee, as shall the match fees
13 All members shall pay their subscriptions for the year on or before 31 May.
The General Committee may terminate the membership of any member whose
annual subscription remains unpaid on 31 July. A full list of members and their
addresses shall be displayed in the Clubhouse. Annual membership shall run from
1 January to 31 December each year
14 The Treasurer shall keep proper books of account as will enable him/her to present at every Annual General Meeting of the Club, or at any other time if required (on reasonable notice to him/her) by the General Committee, an accurate report and statement concerning the finances of the Club, including a separate statement with regard to the purchase and supply of tobacco and intoxicating liquor. The books of account shall be subjected to a professional and/or independent audit. The financial year shall end on 30 September annually.
INTOXICATING LIQUOR
15 The supply of intoxicating liquor in the Club premises shall be permitted at times laid down by local licensing laws. Any social function to be held under Rule 7 shall terminate in any event no later then 1.00am. No intoxicating liquor shall be supplied to member or to any other person on the Club premises otherwise than by or on behalf of the Club.
16 The Bar Sub-Committee shall arrange the supply of intoxicating liquor to
Club members, and to other persons on the Club premises and shall secure the
observance of the provisions of the Licensing Act 1964 and all other Acts relating
thereto, and of any conditions attached to any licence held by or on behalf
of the Club for the supply of intoxicating liquor, or to any registration certificate
granted in respect of the Club premises
17 No person shall be paid or receive any commission percentage or similar payment on or with reference to purchases of intoxicating liquor by the Club, nor shall any person directly or indirectly derive any pecuniary benefit from the supply of intoxicating liquor by or on behalf of the Club to members or guests, apart from any benefit accruing to the Club as a whole
GENERAL MEETINGS
18 An Annual General Meeting of the Club shall be held on the third Tuesday in November each year. Notice of the day and time of this meeting shall be posted in the Clubhouse in the manner prescribed in Rule 26 for a period of at least fourteen days before such day
19 A General Meeting of the Club will be held on the last Tuesday of each month except at Christmas, and at other times immediately upon any five members (each being entitled under Rule 30 to vote) delivering to the General Committee a written or verbal request for such a meeting. A General Meeting shall be summoned by causing a notice thereof to be posted in the Club premises in the manner prescribed in Rule 26 for a period of at least fourteen days immediately before that day appointed for the meeting, but this period may be abridged in the discretion of the General Committee if the urgency of the business to be discussed in their opinion so requests
20 At any General Meeting of the Club every member of the Club shall be entitled to be present, and every member shall be entitled to one vote upon every question raised. In the case of equality of voting, the Chairman shall have a second or casting vote. The Secretary shall take minutes of the proceedings at all General Meetings of the Club. Only members of the General Committee may determine matters relating to finance
BYELAWS
21 The General Committee may from time to time make, vary and revoke byelaws (not inconsistent with these Rules) for the regulation of the internal affairs of the Club and the conduct of members, and the byelaws for the time being in force shall be binding on all members
CONDUCT OF MEMBERS
22 No betting shall be allowed in the Club. No lottery shall be promoted by
any member or officer on behalf of or in any way connected with the Club, or
with
any entertainment or event held by or in connection with the Club without previous
written authority of the General Committee. Gaming shall be permitted in the
Club, so, however, as not to contravene any of the provisions of any statute
for the time being in force.
23 The General Committee may suspend the membership of any member whose conduct,
whether on the Club premises or elsewhere, in or has been in the
opinion of the Committee contrary to the interests of the Club or injurious
to its reputation
24 Immediately upon the suspension under Rule 23 of the membership of any member, the General Committee shall:
a Cause a General Meeting of the Club to be summoned for a day not later than the twenty first day following the suspension and,
b Give notice to the suspended member at his/her address as last notified to the Secretary under Rule 26 of his suspension, and inform him that if he/she so desires he/she may be present at the said Meeting
25 At any such Meeting any allegations against the suspended member shall be
related (in his/her presence if attending) to the Meeting by a member of the
General Committee, and suspended member shall (if he/she desires) be heard in
answer. A reasonable adjournment to enable him/her to prepare an answer may
be allowed at discretion of the Meeting. The decision of the Club at the said
Meeting or at any adjourned Meeting whether to reinstate the suspended member
or to terminate his membership shall be taken by vote, and shall be final and
conclusive
NOTICE
26 Each member shall keep the Secretary informed of that member’s private
address, or of some other address to which communications may be addressed.
Nevertheless, it shall not be necessary to send any notice intended for members
generally to any member, by post or otherwise, except in the case of the notice
convening any General Meeting for any purpose of Rule 29. All notices shall
be posted or affixed in a prominent position on the Club premises in a part
of the Club which is frequented by members, and it shall be the duty of the
Secretary to ensure that any such notice remains so exhibited throughout any
period required in that behalf, by or under these rules
ALTERATION TO RULES
27 These rules may be revoked, added to or altered by a majority comprising two- thirds or more of the members present, and entitled to vote at any General Meeting of the Club, of which notice has been duly given under Rules 18 and 19 specifying the intention to propose the revocation, addition or alteration, together with full particulars thereof.
EXCLUSION OF LIABILITY
28 Neither the Club, nor any officer thereof, shall be liable to any member,
or guest of a member, for any loss of or damage to any property occurring, from
whatever cause, in or about the Club premises, nor for any injury sustained
by any member, or guest whilst on or entering or leaving the Club premises,
and a notice to this effect shall at all times be displayed in a prominent position
on the Club premises
DISSOLUTION
29 If the number of ordinary members of the Club shall at any time fall below twenty five, or if at any time the Club shall pass in General Meeting by a majority comprising two-thirds or more of the members present and entitled to vote a resolution (in this rule ‘the first resolution’) of its intention to dissolve, the General Committee, or failing them the Trustees, shall take immediate steps to convert into money all the property of the Club, with power however to postpone or delay the conversion of any particular property if the Club in General Meeting shall so authorise. Out of the proceeds of such conversion, the Trustees shall discharge all debts and liabilities of the Club, including the expenses of such conversion, and any balance remaining in their hands shall be dispersed of by them as the Club in General Meeting shall resolve, and thereupon the Club shall for all purposes be dissolved. Provided that if the Club shall not within six months after the date of the first resolution, resolve upon the disposition of any such balance, the same shall be divided equally between all persons who were ordinary members of the Club at the date of the first resolution.
A copy of the notice convening any General Meeting under this rule shall be sent by the Secretary to every member at his address last notified to the Secretary under Rule 26 not less than fourteen days before the date appointed for the Meeting but any accidental omission to send such a copy, or the non-receipt of the same, shall not invalidate any proceedings or resolution
GENERAL
30 Any person becoming a member of the Club shall abide by the rules of the Club, and such rules as shall be made thereafter. The following classes of membership will apply:
a Life Member
b Ordinary Member
c Vice President
d Social Member
e Junior Member
f Lady Member
g Corporate Member
Life Members, Ordinary Members, and Vice Presidents, who have paid subscriptions will be allowed one vote each at an Annual or Extraordinary General Meeting
31 Senior Teams will be selected by an elected sub-committee on the Monday prior to each match, and the teams will be displayed in the pavilion and/or Clubhouse, and inserted in the local press. Any member selected to play, or be a reserve for any of the Club’s teams must turn up at the ground at which the match takes place, prior to the start of the match. Any selected player or reserve who is unable to play must advise the team captain before the day of the match. If not obeying this rule and unable to give a satisfactory explanation to the selection sub-committee, the player or reserve shall not be selected for the following match
32 Prizes for batting, bowling and fielding will be awarded for each team in accordance with the suggestions and qualifications of the Halifax Cricket League, unless decided otherwise in a General Meeting of the Club
33 All nominations for officers of the Club, and proposed alterations to Rules shall be accepted up to and including the commencement of the Annual General Meeting, but it is requested that they should be given to the Secretary fourteen days before the Annual General Meeting. The Annual General Meeting shall be held at the Clubhouse on the third Tuesday in November each year at 8.00pm
34 The Captains of the three Senior Sides shall automatically become members of the General Committee
35 When more than two candidates are proposed for office, if none of the candidates has got at least 50% of the total votes cast, then the candidate with the fewest votes shall be withdrawn as a nominee, and a further ballot shall take place between the remaining candidates
36 Players nominated for position of Captain of the three Senior Sides should automatically be considered as nominations for Vice Captain positions
